Welcome to LiveTok. By creating an account, accessing, or using our AI-powered WhatsApp automation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Service Description
LiveTok provides a SaaS platform that enables businesses to create and deploy AI-powered agents for customer communication through WhatsApp and other messaging channels. Our Service includes:
- AI agent creation and configuration tools
- WhatsApp Business API integration
- Natural language processing and conversation management
- Analytics and reporting features
- Integration with third-party services and APIs
2. Eligibility and Account Registration
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By creating an account, you represent and warrant that:
- You are at least 18 years of age
- You have the authority to bind any business entity on whose behalf you use the Service
- All information you provide is accurate and complete
- You will maintain the security of your account credentials
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3. Acceptable Use Policy
You agree to use our Service only for lawful purposes and in accordance with these Terms. You may NOT use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, unsolicited messages, or engage in deceptive practices
- Create AI agents for illegal, harmful, or fraudulent purposes
- Harass, abuse, or harm other users or their customers
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Service to collect data for training competing AI models
- Violate WhatsApp's Terms of Service or Business Policy
- Process protected health information (PHI) or payment card information without proper compliance
4. Your Content and Data
You retain ownership of all content, data, and information you provide to or generate through the Service ("Your Content"). By using the Service, you grant LiveTok a limited, non-exclusive license to:
- Host, store, process, and display Your Content as necessary to provide the Service
- Use aggregated and anonymized data for service improvement and analytics
- Back up Your Content for data protection purposes
You are responsible for ensuring you have all necessary rights and permissions for Your Content. We reserve the right to remove content that violates these Terms or applicable laws.
5. Privacy and Data Protection
Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.
6. Pricing and Payment
Our pricing is based on usage metrics such as message volume, AI processing time, and active agents. You agree to pay all fees according to your selected plan. We reserve the right to:
- Change our pricing with 30 days' notice
- Suspend service for overdue payments
- Charge for usage that exceeds your plan limits
All payments are non-refundable except as required by law. You are responsible for all taxes associated with your use of the Service.
7. Third-Party Services
Our Service integrates with third-party platforms including WhatsApp, AI providers, and other services. Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, functionality, or terms of third-party services.
8. Intellectual Property
LiveTok and its licensors own all rights to the Service, including software, algorithms, trademarks, and documentation. You may not copy, modify, distribute, or reverse engineer any part of our Service except as expressly permitted.
9. Service Availability and Modifications
We strive to maintain high service availability but do not guarantee uninterrupted access. We may:
- Perform scheduled maintenance with reasonable notice
- Modify or discontinue features with 30 days' notice
- Temporarily suspend service for security or technical reasons
10. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your account immediately for:
- Violation of these Terms
- Non-payment of fees
- Suspected fraudulent or illegal activity
- Extended periods of inactivity
Upon termination, you will lose access to the Service and Your Content may be deleted after a reasonable grace period.
11. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that:
- The Service will be error-free or uninterrupted
- AI agents will perform exactly as expected
- Third-party integrations will always be available
- Your use will comply with all applicable regulations
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVETOK'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages caused by third-party services or integrations
- Issues arising from Your Content or use of AI agents
13. Indemnification
You agree to indemnify and hold LiveTok harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your Content or AI agent interactions
- Your violation of third-party rights
14. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration. These Terms are governed by the laws of Delaware, United States.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes take effect constitutes acceptance of the new Terms.
16. General Provisions
These Terms constitute the entire agreement between you and LiveTok. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right does not waive that right.
